These Terms of Service ("Terms") govern your use of NexPane, a Windows desktop application ("we", "us", "our" refers to NexPane and its developer). By purchasing, installing, or using NexPane, you agree to be bound by these Terms. If you do not agree, do not use the software.

1. License Grant

Upon purchase, we grant you a perpetual, non-exclusive, non-transferable, non-sublicensable license to install and use NexPane for personal or professional purposes, subject to the following conditions:

  • You may activate the software on up to 3 (three) devices that you own or control.
  • The license is tied to you as an individual and may not be shared, transferred, or resold.
  • Each device activation is associated with a unique machine identifier.

You may deactivate a device at any time to free up an activation slot for use on a different device.

2. Restrictions

You may not:

  • Redistribute, sublicense, lease, rent, or lend the software to any third party.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the software, except to the extent expressly permitted by applicable law.
  • Modify, adapt, or create derivative works based on the software.
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the software.
  • Use the software for any unlawful purpose or in violation of any applicable laws or regulations.
  • Circumvent or attempt to circumvent the license activation system.
  • Share your license key publicly or with unauthorized parties.

3. Pricing and Payment

NexPane is available as a one-time purchase of $39 USD for a lifetime license. There are no recurring fees or subscriptions.

All payments are processed by Paddle, which acts as the Merchant of Record for all transactions. Paddle handles all payment processing, sales tax, and VAT obligations. Your purchase is subject to Paddle's Terms of Service.

Prices are subject to change. Any price change will not affect existing license holders.

4. Refund Policy

We offer a 30-day money-back guarantee. If you are not satisfied with NexPane for any reason, you may request a full refund within 30 days of your purchase by contacting us at support@nexpane.app.

Refunds are processed through Paddle. Upon refund, your license will be revoked and you must uninstall the software from all devices.

5. Intellectual Property

NexPane, including its code, design, graphics, documentation, and all related materials, is the intellectual property of NexPane. All rights not expressly granted in these Terms are reserved.

Your data is yours. We claim no ownership or rights over any files, content, or data you create, access, or manage using NexPane. The software operates locally on your machine, and your data never passes through our servers during normal operation.

6. Updates

Your license includes access to all future updates of NexPane at no additional cost. Updates are downloaded manually from our website — the application does not auto-update.

While we intend to continue developing and improving NexPane, we are under no obligation to release updates, new features, or bug fixes on any particular schedule or at all.

7. Third-Party Services and AI Integrations

NexPane supports optional integrations with third-party AI services, including Anthropic Claude, OpenAI, and GitHub Copilot. These integrations require you to provide your own API keys and are entirely optional.

When you use these integrations:

  • Your interactions are sent directly to the third-party provider from your device.
  • Your use of these services is subject to the respective provider's terms of service and privacy policy.
  • We are not responsible for the availability, accuracy, or behavior of third-party AI services.
  • You are responsible for any costs incurred through your use of third-party API keys.

8. Disclaimer of Warranties

NexPane is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the software will be uninterrupted, error-free, secure, or free of viruses or other harmful components. You use the software at your own risk.

9. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall NexPane be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, business interruption, or damage to your system, arising out of or in connection with your use of or inability to use NexPane, regardless of the theory of liability.

Our total cumulative liability to you for all claims arising from or related to these Terms or the software shall not exceed the amount you paid for the license.

10. Termination

Your license remains in effect unless terminated. We may revoke your license if you materially breach these Terms, including but not limited to:

  • Distributing or sharing the software or your license key with unauthorized parties.
  • Attempting to circumvent the license activation system.
  • Using the software for unlawful purposes.

Upon termination, you must cease all use of the software and uninstall it from all devices. Sections of these Terms that by their nature should survive termination (including Intellectual Property, Disclaimer of Warranties, Limitation of Liability, and Governing Law) will remain in effect.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of NexPane shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in a mutually agreed-upon jurisdiction.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Material changes will be communicated via the website. Continued use of NexPane after changes constitutes acceptance of the updated Terms. If you disagree with any changes, you may stop using the software. Your existing license grant remains valid under the Terms in effect at the time of your purchase.
